Terms of Service

The short version: ReddUp is software you license from ReddUp, LLC and run on your own computer. Your data stays with you, which also means it's in your care. Buy it once or subscribe, use it for any lawful purpose, don't redistribute it or resell keys, and understand that ReddUp is a tool for understanding your money, not financial advice.

1. Who we are

These Terms of Service (the “Terms”) are an agreement between you and ReddUp, LLC, a Colorado limited liability company (“ReddUp,” “we,” “us,” or “our”). They govern your download, installation, and use of the ReddUp desktop application, the ReddUp Command companion app, and this website (together, the “Software”). By installing or using the Software you agree to these Terms.

2. What ReddUp is (and isn’t)

ReddUp is a local-first personal and small-business finance application: your financial data is stored on your own device, not on our servers. We do not host accounts, we do not store your financial data, and we cannot see it.

ReddUp is not financial advice. The Software provides tools for organizing and visualizing information you provide. Nothing it displays, including budgets, forecasts, projections, reports, or AI-generated suggestions, is financial, investment, tax, accounting, or legal advice, and it may contain errors. Verify important numbers against your own records and consult a qualified professional before making financial decisions.

3. Your license

The Software is licensed, not sold. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable license to install and use the Software on devices you own or control, for your own personal or internal business use:

  • Free edition — no charge, with the feature set and import limits described on our pricing page. New installations include a one-time 14-day trial of the Elite feature set.
  • Subscriptions (Pro or Elite, monthly or yearly) — your license key keeps the corresponding features active while your subscription is current.
  • One-time purchases (Pro or Elite) — your license key is perpetual: the features it unlocks keep working. It includes software updates released within 12 months of your purchase; versions released after that window may require a new purchase to run, but versions within your window keep working.

License keys are issued per purchaser. You may not sell, rent, share, publish, or otherwise redistribute a license key, and you may not redistribute, resell, sublicense, or bundle the Software itself. You may not reverse engineer, decompile, or disassemble the Software except to the extent a law expressly permits it despite this limitation.

4. Purchases, billing, and taxes

Purchases are processed by Paddle, our merchant of record. Paddle handles checkout, payment, applicable sales tax/VAT, receipts, and certain buyer-support workflows; your purchase is also subject to Paddle’s buyer terms. Subscription prices and one-time prices are those shown at checkout. Subscriptions renew automatically until cancelled; you can cancel any time, effective at the end of the current billing period. Refunds are described in our Refund Policy.

5. Your data and your responsibility

Because ReddUp is local-first, you hold the only copy of your data unless you export or back it up yourself. We cannot recover data lost to device failure, deletion, or a forgotten operating-system password, because we never have it. Please keep backups of anything you can’t afford to lose (the app’s export and archive features exist for exactly this).

You are responsible for what you import into the Software and for using it lawfully. Optional integrations you enable — such as SimpleFIN bank sync or a locally installed AI model — connect using accounts and services that belong to you and are governed by those providers’ terms. You are responsible for reviewing those terms before enabling an optional integration.

6. Updates

The Software may check our website for the latest released version and tell you when an update is available; installing it is your choice. Updates are provided under these Terms. We may add, change, or retire features over time. If a change would materially reduce what a paid tier includes, we’ll say so in the release notes.

7. Intellectual property

The Software, including its design, code, and branding, is owned by ReddUp, LLC and protected by copyright and other laws. These Terms give you the license described above; they do not transfer any ownership. Feedback you choose to send us may be used to improve the Software without obligation to you.

8. Warranty disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ITS CALCULATIONS, IMPORTS, CATEGORIZATIONS, OR PROJECTIONS WILL BE ACCURATE OR COMPLETE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDDUP, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR FINANCIAL DECISIONS MADE IN RELIANCE ON THE SOFTWARE, ARISING FROM OR RELATED TO THE SOFTWARE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS COMBINED WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM AROSE (OR US $50 IF YOU PAID NOTHING). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you; nothing in these Terms limits rights that cannot lawfully be limited.

10. Termination

You can stop using the Software at any time. We may terminate your license if you materially breach these Terms (for example, by redistributing license keys) and the breach isn’t cured within a reasonable time after notice. Sections 5 and 7–12 survive termination.

11. Governing law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Courts located in Colorado have exclusive jurisdiction over disputes arising from these Terms, and each party consents to venue there, except that either party may bring an individual claim in small-claims court, and nothing here overrides consumer-protection rights of the place you live that apply to you regardless of choice of law.

12. Changes to these Terms

We may update these Terms as the product and the law evolve. The “Last updated” date above reflects the current version, and material changes will be noted in the app’s release notes or on this site. Continuing to use the Software after a change takes effect means you accept the updated Terms.
